The law of business associations governs the various stages in the life of business organizations as well as the relationship between and among directors, partners, shareholders and third parties. This course will present, from an American and comparative law perspective, an introductory overview of the formation and elements of business associations, including general and limited partnerships, limited liability companies and corporations. The basic concepts of agency, liability, duties, accounting, taxation, dissolutions, capitalization, divdends, redemptions and agreements among shareholders will be covered.

Continuous assessment : 20%. Written exam (3h00) : 80% of the final grade.
6 weekly two-hour sessions. Students should be prepared to discuss and question the issues raised by the readings and the classroom lecture and discussion.
