KDEC 6000 - Introduction to corporate law

The law of business associations governs the various stages in the life of business organizations as well as the relationship between and among directors, partners/shareholders and third parties. This course will present, from an American and comparative law perspective, an introductory overview of the formation and elements of business associations, including general and limited partnerships, limited liability companies and corporations. The basic concepts of agency, liability, duties, accounting, taxation, dissolution, capitalization, dividends, redemptions and agreements among shareholders will be covered.

Students will read and analyze approximately 40 pages per week in the textbook and/or in supplemental materials that will be distributed during the semester.

Students will be divided into groups of 3-4 to prepare a 30-40 page written original research paper, coupled with an oral presentation to the class, on a topic of international corporate law to be agreed upon with me.
